M&A Equity and Debt Advisory Services
Sandorn provides third parties with a full spectrum of M&A advisory services primarily in respect to the sale of performing or non-performing companies. Sandorn renders structuring, negotiation and acquisition support in relation to all layers of debt and mezzanine of any stages of corporate development.
Structuring of institutional fund vehicles
In some markets we consider setting up an institutional investment vehicle for a real estate basket an attractive alternative to standard exit programs. This is particularly true for institutional investors or lenders in temporarily illiquid markets. The team has a track record in designing, setting up and fundraising for institutional fund vehicles compliant to the AIFM directive.
Distressed Real Estate Related Loans
Sandorn assists lenders and distressed debt investors by advising on the recovery of secured mortgages and other real estate related non-performing and impaired loans. In addition to advising on the management of bilateral exposures, Sandorn often works with group of lenders and on loans with complex tranching and intercreditor issues helping to coordinate and implement restructuring and recovery activities.
Distressed Real Estate Equity Investments
Sandorn works with real estate equity investors to foster recoveries from investments in distressed real estate funds, portfolios and/or direct holdings. In this role, Sandorn assists single investors or groups of investors and regularly accepts joint or coordinating roles for the shareholders. Sandorn has a track record in working in the field of on-court restructurings in a number of jurisdiction in CEE and resorts to a robust network to industry participants in this field.
Asset or Company Restructurings
Sandorn team members resort to a track record of successful hands-on restructurings of institutional real estate holding companies, entrepreneurial real estate development companies and real estate assets. This involves:
- Definition and implementation of operating turnaround programs;
- Definition and implementation of financial restructurings; and
- Definition and implementation of strategic restructurings.
- Sandorn has a track record in defining and running restructuring programs both deliberately within insolvency regimes and managed out-of-court.

In 2017 Sandorn rendered buy-side M&A advisory services to an international UHNWI in relation to sourcing and acquiring a sizeable off-market trophy real estate asset in Vienna.
In 2016 Sandorn advised the sale of a sizeable Austrian Resort Hotel to one of the world largest travel companies.
In 2015 Sandorn managed to sell a heavily distressed Shopping Center in an over-developed EU capital region to a local investor in course of a sell-side M&A advisory mandate. The advisory services involved the preparation and conduct of a structured sale process for the owner, the negotiation with the financing bank on necessary contributions and the negotiations with the ultimate buyer.
